Terms of service
The agreement between you and Warm by Design when you visit warmbydesign.com or place an order. Please read carefully — Section 16 contains a mandatory arbitration clause and a class-action waiver.
1. The agreement
These Terms of Service ("Terms") govern your use of warmbydesign.com (the "Site") and any orders placed through it. By browsing the Site or placing an order, you agree to these Terms. If you don't agree, please don't use the Site.
Warm by Design ("we," "us," "our") currently operates as a sole proprietorship in California. Registration as Warm by Design LLC is pending.
2. Eligibility
You must be at least 18 years old to place an order. By checking out, you confirm you are 18 or older and are legally able to enter into a binding contract.
3. Account terms
You may create an account through Shopify to track orders and save preferences. You agree to provide accurate information and keep your login credentials private. You are responsible for activity on your account. Notify us promptly if you suspect unauthorized use.
4. Orders, pricing, and acceptance
An order placed through the Site is an offer to purchase. We reserve the right to accept or decline any order. A binding contract forms only once we email you a shipping confirmation.
Prices are in US dollars and exclude applicable sales tax, which is calculated at checkout. We work hard to display accurate prices, but if a pricing or product description error is discovered, we may cancel or correct affected orders before shipping and notify you.
5. Right to refuse or cancel
We reserve the right to refuse, limit, or cancel any order at our discretion — including for suspected fraud, pricing errors, stockouts, or violation of these Terms. If we cancel an order that has already been charged, you receive a full refund to the original payment method.
6. Shipping and risk of loss
Shipping terms are described in our Shipping policy. Risk of loss passes to you when the carrier marks the package as delivered.
7. Returns and refunds
Returns and refunds are governed by our Refund policy, which is incorporated into these Terms by reference.
8. Limited 1-year warranty
We warrant that our products will be free from manufacturing defects for one year from the date of delivery. If a defect appears in that period, email support@warmbydesign.com with a photo and your order number. At our discretion we will repair, replace, or refund the affected item.
This warranty does not cover damage from misuse, modification, drops, water exposure, or use outside of US 110–120V residential outlets. The warranty is non-transferable and applies only to the original purchaser.
9. Voltage and proper use
Our products are designed for US 110–120V, 60Hz residential electrical outlets. Using them with step-down converters, voltage adapters, or in countries with different electrical standards voids the warranty and may damage the product. Do not modify, disassemble, or attempt to service the products yourself.
10. Email and SMS marketing
If you opt in to marketing email or SMS, you agree to receive periodic messages from us. You can unsubscribe at any time via the link at the bottom of any marketing email, by replying STOP to a marketing SMS, or by emailing support@warmbydesign.com. SMS messaging is governed by applicable telecommunications laws including the Telephone Consumer Protection Act (TCPA). Message and data rates from your carrier may apply.
11. Intellectual property
The "Warm by Design" name, the wordmark, all photography, copy, illustrations, video, product designs, and Site design are owned by Warm by Design and are protected by US and international copyright and trademark law. You may not copy, reproduce, modify, distribute, or create derivative works from any of this content without our prior written permission. Scraping or otherwise extracting Site content for use in machine-learning training datasets is expressly prohibited.
12. Kit-specific terms
Build Your Kit unlocks free accessories at certain tier thresholds. The terms of those tiers:
- Next Room Credit (Tier 2): A discount code worth $150 off a future order. The code is emailed after kit delivery, expires 90 days from kit delivery, is redeemable once, is non-transferable, has no cash value, and cannot be combined with other promotional codes.
- Tier 1 and Tier 2 accessories (replacement bulb, lamp care kit, layering guide, mini lamp, beeswax tapers): These ship as zero-dollar line items inside the kit. They are not sold separately at the values shown — those values are MSRP-equivalents used to communicate the savings. If you return enough lamps that the kit no longer qualifies for a tier, the accessories from that tier must be returned or paid for at MSRP, as described in our Refund policy.
13. Disclaimers
Our products are designed to create warm, ambient lighting environments. We do not market them as medical devices, sleep aids, or wellness products. We make no representation or warranty that our products will alter, improve, or affect any biological or psychological condition. Any references on the Site to scientific research about light and circadian rhythm are informational and reference primary sources; they are not health claims.
The Site and the products are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties not expressly stated in Section 8, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of or related to the Site, the products, or these Terms is limited to the amount you paid for the order giving rise to the claim. We are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, or loss of use.
15. Indemnification
You agree to defend, indemnify, and hold harmless Warm by Design, its principals, and its agents from and against any claims, damages, liabilities, and reasonable attorneys' fees arising out of your breach of these Terms, your misuse of the products, or your violation of any law or third-party right.
16. Governing law and dispute resolution
Governing law. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
Mandatory arbitration. Any dispute, claim, or controversy arising out of or related to these Terms, the Site, or any product purchase shall be resolved exclusively through binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, in Los Angeles County, California.
Class-action waiver. You and Warm by Design each waive any right to bring or participate in a class, collective, or representative action. Disputes must be brought on an individual basis only. The arbitrator may not consolidate claims or preside over any form of class proceeding.
Small-claims carve-out. Either party may bring an individual claim in a small-claims court of competent jurisdiction in lieu of arbitration.
30-day opt-out. You may opt out of this arbitration agreement by emailing support@warmbydesign.com within 30 days of your first order, with the subject line "Arbitration opt-out" and your full name and order number. Opting out does not affect any other part of these Terms.
Venue for non-arbitrable disputes. For any dispute that cannot be arbitrated under applicable law, you and Warm by Design consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.
17. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the bottom of this page reflects the current version. Material changes will be communicated by email to recent customers when reasonably possible. Continued use of the Site after changes constitutes acceptance of the updated Terms.
18. Severability and entire agreement
If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. These Terms, together with the Refund policy, Shipping policy, Privacy policy, and any order confirmation, constitute the entire agreement between you and Warm by Design.
